Butterfork Affiliate Program Agreement
1. Introduction
The Butterfork affiliate program allows you to promote Butterfork.com by placing a link on your website, social media content, or online platforms (your “website”) to advertise Butterfork’s products and earn a commission. The link must use the specific “tracking” format provided by us. When customers click on your link to purchase products on Butterfork.com, or take other qualifying actions, you are eligible to earn commission for valid customer purchases.
2. Affiliate Program Compliance Requirements
To participate in the affiliate program and earn commissions, you must follow this agreement. If you breach this agreement, we reserve the right to permanently withhold (to the extent permitted by applicable law) any commissions due under this agreement, whether or not they are directly linked to the violation.
3. Representations, Warranties, and Agreements
By participating in the affiliate program, you represent, warrant, and agree that:
• (a) You will establish, maintain, and operate your website in compliance with this agreement.
• (b) Your participation will not violate any applicable laws, regulations, codes, industry standards, or government requirements regarding data protection, advertising, and marketing.
• (c) You have the legal authority to enter into this agreement.
• (d) You have independently evaluated the benefits of participating in the affiliate program.
• (e) You will comply with all export restrictions applicable to goods, software, technology, and services.
• (f) Butterfork does not make any representations, warranties, or guarantees about expected traffic or income from the affiliate program.
4. Term of Agreement and Termination
Either you or Butterfork may terminate this agreement at any time by sending a written notice to the other party. Termination is effective seven calendar days from the date of notice. Upon termination, we will settle any outstanding commission after verifying payment accuracy (e.g., adjustments for canceled or returned orders). All rights and obligations will be terminated, except Butterfork’s obligation to pay any unsettled commission.
5. Disclaimer
All products provided by Butterfork.com are “as is.” Neither Butterfork nor its affiliates or licensors make any representations or warranties regarding the affiliate program services. Butterfork, its affiliates, and licensors disclaim any warranties, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We are not liable for any errors, interruptions, or unauthorized access related to your website or content. Butterfork is not responsible for any losses incurred due to your participation in the affiliate program.
6. Limitation of Liability
Butterfork, its affiliates, and licensors are not liable for indirect, incidental, or punitive damages, including loss of income, profits, or goodwill. Butterfork’s cumulative liability shall not exceed the total commissions paid to you in the twelve months before the claim event. You waive any rights to seek equitable remedies, including specific performance or injunctions.
7. Indemnification
You agree to indemnify and defend Butterfork, its affiliates, and licensors from any claims, losses, or damages arising from the setup, maintenance, or operation of your website, or your breach of this agreement. You are responsible for any claims related to the content displayed on your website or your use of the affiliate program services. Butterfork reserves the right to take legal action to enforce this agreement if necessary.
8. Other Regulations
Butterfork may send emails regarding the affiliate program. We may monitor your website to confirm compliance with this agreement. You acknowledge that Butterfork may use your website as an example in our promotional materials. Butterfork and its affiliates reserve the right to operate similar or competing programs or websites without your involvement. Any updates or modifications to this agreement will be effective upon notification or as specified.
9. Modification
Butterfork reserves the right to modify this agreement at any time by posting a revised agreement on Butterfork.com or sending a modification notice to the email associated with your affiliate account. Modifications will be effective as of the specified date, with at least seven calendar days’ notice for changes to standard commission rates.
