Affiliate Agreement
This Affiliate Agreement (“Agreement”) is made between Fortune Star Technology Limited, with its principal place of business at 5th Floor, Room 511, Ming Sang Industrial Building, 19-21 Hing Yip Street, Kwun Tong, Kowloon, Hong Kong SAR (the “Merchant”), and the individual or entity applying to become an affiliate via the ShareASale network (the “Affiliate”). By joining the Fortune Star Technology Limited affiliate program, you (the “Affiliate”) agree to the terms and conditions outlined below.

1. Enrollment in the Program
To begin the enrollment process, the Affiliate must submit an affiliate program application via ShareASale. The Merchant will review the application and notify the Affiliate of their acceptance or rejection. The Merchant reserves the right to reject any application, at its sole discretion, for any reason.
2. Promotion of Merchant’s Products
Once accepted, the Affiliate may display Merchant’s products and marketing materials provided by the Merchant on their website or other marketing channels. The Affiliate agrees to use only approved creative materials provided by the Merchant and agrees not to modify or alter them without prior approval from the Merchant.
3. Commissions
3.1 Commission Rate: Affiliates will earn a commission on qualifying sales. The current commission rate is stated within the Merchant’s ShareASale profile.
3.2 Qualifying Sales: Sales are considered “qualifying” when they are generated by an Affiliate’s unique tracking link, attributed to a valid customer purchase, and approved by the Merchant. Any sale that results in a chargeback, cancellation, or refund will not qualify for a commission.
3.3 Payment Terms: Commissions are paid by ShareASale according to their standard payment schedule and method. The Merchant is not responsible for any payment issues outside of ShareASale’s policies.
4. Term and Termination
4.1 Term: This Agreement will remain in effect as long as the Affiliate is active in the Fortune Star Technology Limited ShareASale Affiliate Program, unless terminated earlier under this Agreement.
4.2 Termination by Merchant: The Merchant reserves the right to terminate this Agreement at any time for any reason, including if the Affiliate is in breach of any terms of this Agreement.
4.3 Termination by Affiliate: The Affiliate may terminate this Agreement by providing written notice to the Merchant via the ShareASale platform or by other means specified by ShareASale.
4.4 Effect of Termination: Upon termination, the Affiliate must immediately remove all links, banners, and other promotional materials related to the Merchant from their website and other marketing channels.
5. Restrictions
5.1 The Affiliate shall not engage in any deceptive, misleading, or unethical practices, including but not limited to “cookie stuffing,” unsolicited email or SPAM, incentivized clicks, or any illegal activity.
5.2 The Affiliate must comply with all applicable laws and regulations and agrees not to misrepresent the Merchant’s products or services.
6. Confidentiality
Both parties agree to maintain the confidentiality of any confidential information provided in connection with this Agreement, including but not limited to, commission rates, business operations, and any proprietary information.
7. Limitation of Liability
The Merchant makes no express or implied warranties or representations regarding the Affiliate Program or the Affiliate’s potential to earn income from the program. The Merchant will not be liable for any damages, including but not limited to lost profits or any special, incidental, or consequential damages arising from this Agreement or the Affiliate Program.
8. Modifications to the Agreement
The Merchant reserves the right to modify any terms and conditions of this Agreement at any time. Changes to this Agreement will be communicated to the Affiliate via the ShareASale platform or by other means deemed appropriate by the Merchant. Continued participation in the program after changes are posted constitutes the Affiliate’s acceptance of those changes.
9. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the jurisdiction where the Merchant is headquartered, without regard to conflicts of law principles.
10. Entire Agreement
This Agreement constitutes the entire agreement between the Merchant and the Affiliate, superseding all prior agreements or communications, oral or written, regarding the subject matter contained herein.
By joining the Fortune Star Technology Limited ShareASale Affiliate Program, the Affiliate agrees to abide by the terms and conditions of this Agreement.
