This Affiliate Program Agreement (“Agreement”) is entered into by and between Alexis Gift Quilts (“Company,” “we,” “us,” “our”) and the individual or entity applying to participate in our affiliate program (“Affiliate,” “you,” “your”). By signing up for the Affiliate Program, you agree to the following terms and conditions:
1. Affiliate Program Enrollment
To enroll in the Alexis Gift Quilts Affiliate Program, you must participate in ShareASale and are bound to the ShareASale terms of use. We reserve the right to approve or reject any application at our sole discretion. If accepted, you agree to the terms of this Agreement as a condition of your participation in the program.
2. Affiliate Responsibilities
• Promotion: You agree to promote Alexis Gift Quilts using the materials provided by us, including banners, links, and product information. You will use ethical marketing practices and avoid spamming, fraudulent methods, or misleading content.
• Compliance: As an Affiliate, you agree to comply with all applicable laws and regulations, including but not limited to the Federal Trade Commission (FTC) guidelines on endorsements and disclosures. You are responsible for disclosing your affiliate relationship with Alexis Gift Quilts when promoting our products.
• Content: You must not promote Alexis Gift Quilts on websites containing inappropriate content, including but not limited to content that is offensive, illegal, or otherwise deemed harmful to our brand.
3. Commissions
• Commission Structure: Affiliates will earn a commission on each sale made through their unique referral link. The current commission rate is 10%. The commission will be based on the net sale amount, excluding taxes, shipping, and any discounts.
• Payout Schedule: Commissions will be paid on as specified in the ShareASale platform.
• Tracking: Sales are tracked using cookies, and the cookie duration is 30 days. If a customer returns after the cookie expires, you will not be credited for the sale.
4. Prohibited Activities
You agree not to engage in any of the following activities:
• Misleading Promotions: No false or misleading advertising, or representations that may harm our reputation.
• Trademark Violations: You may not use the Alexis Gift Quilts trademark, logo, or any related imagery in any way without prior written consent.
• PPC Advertising: You are prohibited from bidding on Alexis Gift Quilts brand keywords in pay-per-click (PPC) advertising campaigns.
• Cookie Stuffing: No cookie stuffing, forced clicks, or any other fraudulent or deceptive techniques to generate sales.
5. Termination
• By Either Party: Either party may terminate this Agreement at any time, with or without cause, by giving written notice to the other party.
• By the Company: Alexis Gift Quilts reserves the right to terminate your participation in the Affiliate Program immediately and without notice if you are found to be in violation of this Agreement.
• Effect of Termination: Upon termination, you will no longer be entitled to receive commissions for any sales made after the date of termination. All promotional materials must be removed from your site.
6. Relationship of Parties
You and Alexis Gift Quilts are independent contractors, and nothing in this Agreement creates any partnership, joint venture, agency, franchise, or employment relationship between the parties.
7. Indemnification
You agree to indemnify and hold harmless Alexis Gift Quilts and its affiliates from any and all claims, liabilities, damages, or expenses (including attorney’s fees) arising out of or related to your participation in the Affiliate Program, including but not limited to any breach of this Agreement.
8. Limitation of Liability
Alexis Gift Quilts will not be liable for any indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages.
9. Modification
We may modify any of the terms and conditions of this Agreement at any time. You will be notified of such changes, and continued participation in the Affiliate Program following the notice will constitute acceptance of the revised terms.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of Kansas, without regard to its conflict of law provisions.
11. Entire Agreement
This Agreement constitutes the entire agreement between you and Alexis Gift Quilts regarding the Affiliate Program and supersedes all prior agreements, understandings, or representations.
By signing up for the Alexis Gift Quilts Affiliate Program, you acknowledge that you have read and agree to be bound by the terms and conditions of this Agreement.
