Shoott Inc. Affiliate Agreement (Revised)

This Affiliate Agreement (“Agreement”) is a legal document between Shoott Inc. (“Company,” “we,” “us,” or “our”) and you (“Affiliate,” “you,” or “your”). It describes the affiliate relationship, your responsibilities, and our responsibilities to you. Please read the entire Agreement carefully.
1. Definitions
Company, Us, We: Shoott Inc. and its employees or legal agents.
Affiliate, You: The individual or entity participating in the Affiliate Program.
Parties: Collectively, the Company and Affiliate.
Affiliate Program: The program described in this Agreement.
Affiliate Application: The completed form required for consideration.
Website: The primary website listed above.
Qualified Booking/Lead: A booking or lead generated via your affiliate link where the customer completes the booking and physically attends and completes their scheduled session. Bookings/leads where the customer does not attend (no-shows or cancellations) are not Qualified Bookings/Leads and are not eligible for commission.
2. Assent & Acceptance
By submitting an application, you warrant that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not apply or participate. This Agreement incorporates by reference any Terms of Conditions, Privacy Policies, End-User License Agreements, or other legal documents on our website.
3. Age Restriction
You must be at least 18 years old to join. You represent and warrant that you are at least 18 and may legally agree to this Agreement. We assume no responsibility for misrepresentation of age.
4. Program Sign-Up
You must submit a complete Affiliate Application. Acceptance is at our sole discretion. Rejection may occur for any reason, and we are not obligated to provide an explanation. If accepted, all terms herein apply. We may request additional information or steps for eligibility.
5. Non-Exclusivity
This Agreement does not create an exclusive relationship. You may work with other affiliate programs, and we may work with other affiliates or companies.
6. Affiliate Program Mechanics
After acceptance, you must set up your account, including payout information. We will provide you with affiliate links. You agree to use only approved links and display them as described in your application. You will receive a set amount, depending on the commission program you are signed up for, for each Qualified Booking/Lead as defined above.
7. Specific Terms Applicable
Commission Credit: You will only be credited for Qualified Bookings/Leads where the customer attends and completes their scheduled session. Bookings/leads that are cancelled, rescheduled without attendance, or result in a no-show are not eligible for commission.
Sole Discretion: We reserve the right to determine, in our sole discretion, whether a booking/lead qualifies for commission. Our determination is final.
Rejection Rights: We may reject clicks, leads, or sales that do not comply with this Agreement.
Order Processing: We are responsible for processing and fulfillment.
Real-Time Data: Reports are provided via your account portal but are subject to final review and change before payout.
8. Payout Information
Requirements: Payouts are only available if we have your current address and tax documentation (e.g., W8/W9).

Disputes: Notify us within 30 days of payout receipt for any disputes; disputes after 30 days will not be addressed.
Eligibility: Only Qualified Bookings/Leads (attended sessions) are eligible for payout.
9. Reports
You may review reports in your account. Not all listed qualifying clicks or bookings/leads are final until reviewed for accuracy. Only attended sessions will be credited.
10. Term, Termination & Suspension
Term: Begins upon acceptance and continues until terminated by either party at any time, with or without cause.
Payouts: You may only earn payouts as an Affiliate in good standing during the term.
Forfeiture: If you violate this Agreement or other legal terms, you forfeit all rights, including unpaid payouts.
Survival: Provisions expected to survive termination remain in effect.
11. Intellectual Property
Ownership: All Company IP (copyrights, trademarks, trade secrets, patents) is owned by the Company.
License: You are granted a limited, non-exclusive, non-transferable, revocable license to use Company IP solely for the Affiliate Program. No modifications or unauthorized uses are allowed.
Revocation: We may revoke your license at any time.
Infringement: Unauthorized use constitutes infringement, and we reserve all rights, including legal action.
Affiliate IP: You grant us a non-exclusive license to use your name and trademarks for program promotion.
12. Modification & Variation
We may modify this Agreement at any time, effective immediately upon posting. Continued participation constitutes acceptance. Monitor the Agreement for changes and refer to the Effective Date. If any part is held invalid, the prior effective version remains enforceable.
13. Relationship of the Parties
Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship. You are an independent contractor.
14. Acceptable Use
You agree not to use the Affiliate Program for any unlawful or prohibited purpose, including but not limited to:
Harassment, abuse, or violation of legal rights
Infringement of intellectual property
Dissemination of viruses or fraudulent activity
Unlawful gambling, sweepstakes, or pyramid schemes
Publishing or distributing obscene, defamatory, or discriminatory material
Unlawful information gathering
15. Affiliate Obligations & FTC Compliance
Site Maintenance: You are responsible for the Affiliate Site’s operation and compliance.
Monitoring: We may monitor your account and compliance.
Legal Compliance: You must comply with all applicable laws, including FTC guidelines and data privacy regulations (e.g., GDPR).
Disclosure: You must post a conspicuous affiliate disclosure on your website, as required by law.
16. Data Privacy and Security
You must comply with all applicable data privacy and security laws and regulations relevant to your country or your visitors, including but not limited to U.S. laws and the EU General Data Protection Regulation (GDPR).
17. Entire Agreement
This Agreement constitutes the entire agreement between the Parties regarding the Affiliate Program and supersedes all prior agreements or understandings.
