Spoiled Joy Affiliate Program Agreement
1. Introduction
Welcome to the Spoiled Joy Affiliate Program. This Agreement outlines the terms and conditions under which you may participate as an affiliate in our program. Your participation is conditional on your acceptance of these terms, which are intended to ensure the integrity and legality of our mutual efforts.
2. Definitions
"Affiliate" refers to you, the individual or entity participating in this program.
"Program" refers to the Spoiled Joy Affiliate Program as detailed in this Agreement.
3. Enrollment in the Program
To begin the enrollment process, you must submit a complete program application via our website. We will evaluate your application and notify you of your acceptance or rejection. We may reject your application if we determine (at our sole discretion) that your platform is unsuitable for our Program.
4. Commission and Payment
a. Affiliates will receive a commission rate of 10% for all eligible sales that are not returned or refunded.
b. Payments will be made monthly for amounts exceeding $50. If your commissions do not exceed $50, they will be held until this threshold is reached.
5. Responsibilities of the Affiliate
a. Affiliates must comply with all legal requirements and FTC guidelines regarding affiliate disclosure and marketing.
b. Affiliates are responsible for maintaining the technical and promotional quality of their platforms to ensure they align with our brand standards.
6. Prohibited Activities
Affiliates are not permitted to engage in keyword bidding for Spoiled Joy terms on any search engine, use misleading advertisements, or create domains or social media profiles that mimic our brand's identity.
7. Intellectual Property
a. Affiliates are granted a non-exclusive, non-transferable license to access our site and use our trademarks, logos, and promotional materials for the sole purpose of promoting our products.
b. All intellectual property rights remain with Spoiled Joy, and no rights are transferred to the affiliate.
8. Term and Termination
This Agreement will begin upon our acceptance of your application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.
9. Limitations of Liability
Spoiled Joy will not be liable for indirect or accidental damages due to affiliate tracking failures, loss of database files, or any results from intents of harm to the Program and/or to our website(s).
10. Indemnification
The Affiliate shall indemnify and hold harmless Spoiled Joy and its affiliate companies from any claim, damage, lawsuit, action, complaint, or other costs arising from or relating to the Affiliate's participation in the Program.
11. Modification
We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Program following the posting of a change notice or new agreement on our site will constitute binding acceptance of the change.
12. Legal Compliance
All affiliates must comply with all applicable laws, rules, regulations, and orders of any governmental authority having jurisdiction over this Agreement or the services provided.
13. PPC and Trademark Bidding Restrictions
Affiliates are strictly prohibited from bidding on Spoiled Joy-related keywords, brand names, or trademarks (including but not limited to "Spoiled Joy," "SpoiledJoy," and any variations or misspellings thereof) in any pay-per-click (PPC) advertising on search engines, social media, or any other advertising platforms. Failure to comply with this rule may result in immediate termination from the program and forfeiture of unpaid commissions.
14. Miscellaneous
Your rights and obligations under this Agreement may not be assigned or transferred without written consent from Spoiled Joy.
