Affiliate Agreement / Wellhana.comThis Affiliate Agreement (the "Agreement") is made and entered into as of November 1st 2024 by and between Wellhana.com ("Company") and its affiliates in Shareasale and/or Awin ("Affiliate").1. Affiliate ProgramCompany operates an affiliate program that allows Affiliates to earn commissions by referring customers to Company's website. By accepting this Agreement, Affiliate agrees to promote Company's products and services in accordance with the terms and conditions set forth herein.2. Affiliate's role and obligationsAffiliate agrees to:Promote Company's products and services using ethical and legal marketing practices.Use the unique tracking link provided to refer customers to Company's website.Comply with all applicable laws and regulations in connection with its promotional activities.Not make any false or misleading claims about Company's products or services.3. Commission Structure and PaymentCompany will pay Affiliate a commission for each qualified sale generated through Affiliate's efforts. The specific commission rate and payment terms will be outlined in Wellhana's ShareASale and/or Awin profile and are subject to change at Company's sole discretion.4. Adjustments to Commissions and bonusesIn the event a discount is applied to a customer's purchase at checkout, the same percentage discount will be proportionally applied to the affiliate's commission, and any applicable affiliate bonus, for that sale. For example, if a 20% discount is applied to the purchase price, the affiliate's commission will also be reduced by 20% from its original amount.Additionally, the maximum commission per sale is 80% of the customer’s final checkout price. For instance, if the customer pays $400 at the checkout, the maximum commission for the affiliate is $320 ($400 × 0.8).5. Commission VoidingCompany reserves the right to void any commission, including but not limited to, if fraud is suspected, if the customer is refunded, or for any other reason determined by Company in its sole discretion.6. Intellectual PropertyAll intellectual property rights in connection with Company's products, services, and marketing materials shall remain the sole property of Company.7. TerminationEither party may terminate this Agreement immediately at any time. Upon termination, Affiliate will cease promoting Company's products and services and will return any confidential information provided by Company.8. Governing LawThis Agreement shall be governed by and construed in accordance with the laws of the State of Massachusetts, USA. 9. Entire AgreementThis Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written. By becoming a Wellhana affiliate, the Affiliate acknowledges and agrees to the terms and conditions of this Agreement.
