This Affiliate Program Agreement (the “Agreement”) is made between BookBrowsers LLC (“Company”) and the Affiliate identified above, for participation in the BookBrowse Affiliate Program (the “Program”). By participating in the Program, the Affiliate agrees to the following terms and conditions:
1. Commission and Payment
1.1 Commission: Affiliates will earn a commission of $10 per sale referred through the use of their unique coupon code. 1.2 Discount: Affiliates can offer their customers a 10% discount on BookBrowse subscriptions or other qualifying products. 1.3 Payouts: Commissions are paid out monthly or according to the standard payment schedule provided by ShareASale. Payments will only be made if the affiliate has earned the minimum payout threshold set by ShareASale. 1.4 Tracking: Sales are tracked via the coupon code provided to each affiliate. Only sales made through these coupon codes will qualify for commissions.
2. Affiliate Responsibilities
2.1 Promotion: Affiliates may promote BookBrowse using approved promotional methods, including blogs, websites, and social media. Affiliates are prohibited from using spam or any misleading or inappropriate promotional methods. This includes but is not limited to:
Sending unsolicited emails (spam)
Misrepresentation of BookBrowse’s services or pricing 2.2 Marketing Materials: BookBrowse will provide standard marketing materials such as banners, logos, and links for use by Affiliates.
3. Program Participation and Approval
3.1 Application: Prospective affiliates must apply to participate in the Program. BookBrowse reserves the right to review and approve all applications at its sole discretion. 3.2 Approval Criteria: Affiliates must meet certain standards to be accepted into the Program, including website or promotional quality, alignment with BookBrowse’s brand, and compliance with any other reasonable criteria. 3.3 No Exclusivity: Affiliates are not restricted from promoting other companies or services, including those in competition with BookBrowse.
4. Terms and Termination
4.1 Term: This Agreement will continue until terminated by either party. 4.2 Termination by Affiliate: The Affiliate may terminate their participation in the Program at any time by providing written notice to BookBrowse. 4.3 Termination by BookBrowse: BookBrowse may terminate the Affiliate’s participation in the Program at any time for any reason, including but not limited to a breach of this Agreement or inactivity. 4.4 Effect of Termination: Upon termination, the Affiliate will no longer be eligible for commissions on sales generated after the termination date.
5. Cookie Duration
The referral tracking cookie lasts for 30 days from the initial click on an affiliate’s link or code. Sales made within this window will be eligible for commissions.
6. Confidentiality and Intellectual Property
6.1 Confidentiality: Any confidential information provided to the Affiliate as part of the Program, including promotional strategies or other sensitive business information, must not be shared with third parties. 6.2 Use of Intellectual Property: Affiliates are granted a limited, non-exclusive, revocable license to use BookBrowse’s trademarks, logos, and marketing materials for the sole purpose of promoting the Program. Affiliates must use these materials in accordance with the guidelines provided by BookBrowse.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles.
8. Limitation of Liability
BookBrowse shall not be liable for any indirect, incidental, or consequential damages arising out of or related to this Agreement, even if BookBrowse has been advised of the possibility of such damages.
9. Miscellaneous
9.1 Amendments: BookBrowse reserves the right to modify this Agreement at any time. Affiliates will be notified of any changes and continued participation in the Program after such changes constitutes acceptance of the new terms. 9.2 Dispute Resolution: Any disputes arising under this Agreement shall be resolved through binding arbitration in Massachusetts, in accordance with the rules of the American Arbitration Association.
By joining and participating in the Program, the Affiliate agrees to the terms set forth in this Agreement.
