This Affiliate Agreement (the "Agreement") is made between Octavia Morgan Los Angeles ("Company," "We," "Us," "Our") and the individual or entity ("Affiliate," "You," "Your") participating in our affiliate program through ShareASale.
By signing up as an affiliate, you agree to comply with the terms and conditions outlined below.
1. ENROLLMENT IN THE PROGRAM
1.1. To become an affiliate, you must apply through ShareASale and be approved by Octavia Morgan.
1.2. We reserve the right to reject any application at our sole discretion.
1.3. You must provide accurate and complete information during registration.
2. COMMISSION & PAYMENTS

3.2. Affiliates may use approved marketing materials provided by us or create their own, as long as they align with our brand image.
3.3. Affiliates shall not:
Use misleading or deceptive advertising practices.
Engage in spam marketing or unsolicited promotions.
Promote our products on coupon sites, bidding on our brand name in PPC campaigns, or using unauthorized discount codes.
Misrepresent themselves as Octavia Morgan or claim to be an official representative.
4. INTELLECTUAL PROPERTY
4.1. Octavia Morgan grants affiliates a non-exclusive, revocable license to use promotional materials, logos, and brand assets for the purpose of marketing.
4.2. Affiliates may not modify, resell, or use our intellectual property beyond the scope of this Agreement.
5. TERM & TERMINATION
5.1. This Agreement is effective from the date of approval into the program and continues until terminated by either party.
5.2. We reserve the right to terminate an affiliate at any time for violations of this Agreement, fraudulent activity, or any behavior detrimental to our brand.
5.3. Upon termination, all rights and licenses granted under this Agreement will be revoked, and any outstanding commissions may be forfeited.
6. LIABILITY & DISCLAIMER
6.1. Octavia Morgan is not liable for any indirect, special, or consequential damages resulting from participation in the affiliate program.
6.2. We do not guarantee a specific income or conversion rate through this program.
6.3. Affiliates participate at their own risk and must comply with all applicable laws and regulations.
7. MODIFICATIONS TO THIS AGREEMENT
7.1. Octavia Morgan reserves the right to update or modify this Agreement at any time. Affiliates will be notified of significant changes via email or ShareASale announcements.
7.2. Continued participation in the program after changes are posted constitutes acceptance of the revised terms.
8. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of [Insert State/Country]. Any disputes arising from this Agreement will be resolved in the courts of [Insert Jurisdiction].
