Program Terms

1. Purpose
The purpose of this Agreement is to outline the terms under which the Affiliate will promote the Merchant’s products/services and receive compensation for sales generated through their marketing efforts.

2. Enrollment
To enroll in the Affiliate Program, the Affiliate must complete the application process on the ShareASale platform. The Merchant reserves the right to approve or deny any application at its discretion.

3. Commissions
The Affiliate will earn a commission of the agreed-upon percentage on all qualifying sales generated through their unique referral links. Commissions are based on the net sale amount, excluding taxes and shipping.

4. Payment Terms
Commission payments will be made on the agreed-upon basis through the ShareASale platform. If not met, the balance will carry over.

5. Affiliate Obligations
The Affiliate agrees to:

-Use only approved promotional materials provided by the Merchant.
-Not engage in any misleading or fraudulent advertising practices.
-Comply with all applicable laws, regulations, and industry guidelines.

6. Intellectual Property
The Merchant grants the Affiliate a non-exclusive, non-transferable license to use the Merchant's trademarks and promotional materials solely to promote the Merchant’s products/services. The Affiliate agrees not to modify these materials without prior written consent.

7. Termination
Either party may terminate this Agreement at any time with or without cause by providing the agreed upon days’ written notice to the other party. Upon termination, the Affiliate will cease all promotion of the Merchant's products/services.

8. Limitation of Liability
The Merchant will not be liable for any indirect, incidental, or consequential damages arising from this Agreement. The Affiliate agrees to indemnify and hold the Merchant harmless from any claims related to the Affiliate's marketing activities.

9. Governing Law
This Agreement will be governed by the laws of the State of [Your State].

10. Amendments
Any amendments to this Agreement must be made in writing and agreed upon by both parties.

PPC Advertising Rules
1. Approval Required
Affiliates must obtain prior written approval from the Merchant before launching any PPC campaigns related to the Merchant’s products or services.

2. Brand Bidding Restrictions
Affiliates are prohibited from bidding on the Merchant’s brand name(s), trademarks, or variations thereof in any PPC campaigns without explicit permission.

3. Ad Content Guidelines
All advertisements must:

Accurately represent the Merchant’s products and services.
Comply with the Merchant's branding guidelines.
Not contain misleading or false information.

4. Use of Tracking Links
Affiliates must use only the approved tracking links provided by the Merchant to ensure accurate tracking of conversions. Modifying these links is strictly prohibited.

5. Compliance with Platform Policies
Affiliates must adhere to all policies and guidelines set forth by the PPC platforms (e.g., Google Ads, Bing Ads). Failure to comply may result in suspension from the affiliate program.

6. No Deceptive Practices
Affiliates must not engage in any deceptive practices, including:

Cloaking ads or redirecting users to different pages than those advertised.
Using misleading ad copy or keywords that misrepresent the Merchant's offerings.

7. Keyword Targeting
Affiliates are required to target only relevant keywords that are related to the Merchant's products and services. They should not use unrelated keywords to generate traffic.

8. Monitoring and Reporting
Affiliates must regularly monitor their PPC campaigns and provide performance reports to the Merchant upon request. Any suspicious activity must be reported immediately.

9. Consequences of Violation
Any violation of these PPC rules may result in immediate suspension or termination from the affiliate program, along with forfeiture of any pending commissions.

10. Amendments to Rules
The Merchant reserves the right to amend these rules at any time. Affiliates will be notified of any changes, and continued participation in the program constitutes acceptance of the new terms.
