APSMILE ShareASale Affiliate Marketing Program Agreement
Introduction
This Agreement is entered into by and between APSMILE (hereinafter referred to as "Party A") and the affiliate member registered through the ShareASale platform (hereinafter referred to as "Party B"), to clarify the rights, obligations, and responsibilities of both parties in the affiliate marketing activities. This Agreement serves as the legal foundation for the cooperation between the parties and is binding on both.
Article 1: Purpose of Cooperation
Party A engages in cooperation with Party B through the ShareASale platform to promote Party A's products or services through Party B's websites, social media, email lists, and other channels, with the aim of increasing Party A's sales and brand visibility.
Article 2: Scope of Cooperation
Party B agrees to promote Party A's products or services only within the scope of legality and ethics.
Party B shall not use any means that infringe upon Party A's intellectual property rights, trademark rights, or other legal rights and interests for promotion.
Party B shall not engage in any illegal or unethical activities to acquire traffic or conduct promotion, including but not limited to the use of viruses, trojans, fraudulent links, etc.
Article 3: Compliance Strategy
Party B must comply with Party A's compliance strategy, including but not limited to not engaging in any form of false transactions, click fraud, or other unethical practices.
Party B shall ensure that its promotional activities comply with local laws and regulations as well as internet advertising standards.
Party B shall avoid using misleading or exaggerated promotional materials.
Article 4: Data Protection and Privacy
Party B shall respect user privacy and shall not collect, use, or disclose user personal information without user consent.
Party B shall take necessary measures to protect the security of user data to prevent data leakage or unauthorized use.
Article 5: Commission and Payment
Party A shall pay commissions to Party B based on the valid sales generated by Party B, with specific rates and calculation methods published by Party A on the ShareASale platform.
Party A shall pay the commissions due to Party B within 30 days after the end of each settlement period.
Party B shall provide accurate payment information to facilitate timely commission payments by Party A.
Article 6: Termination and Breach
Either party has the right to terminate this Agreement by giving 30 days' written notice to the other party.
In the event of a breach of any term of this Agreement by Party B, Party A has the right to immediately terminate this Agreement and seek compensation for any losses caused.
Article 7: Governing Law and Dispute Resolution
This Agreement shall be governed, construed, and enforced in accordance with the laws of New York, United States. In the event of any dispute, the parties shall first attempt to resolve the dispute amicably through negotiation; if negotiation fails, either party may file a lawsuit with the competent court in the location of Party A.
Article 8: Miscellaneous
Any amendments or supplements to this Agreement shall require written confirmation from both parties.
Matters not covered by this Agreement may be resolved through further negotiations between the parties.
