Affiliate Program Agreement
This Affiliate Program Agreement ("Agreement") is between you (“Affiliate”) and Synergetic, for the streaming platform Darkroom. It hereby describes the working model o four affiliate program and other aspects of our business relationship.
1. Enrollment in the Program
1.1 The Affiliate may apply to participate in the Company's Affiliate Program by submitting on ShareASale.
1.2 The Company reserves the right to accept or reject any application at its discretion.
2. Affiliate Obligations
2.1 The Affiliate agrees to promote the Company’s products/services in a professional manner.
2.2 The Affiliate shall comply with all applicable laws and regulations in connection with their participation in the Program.
3. Commission Structure
3.1 The Company will pay the Affiliate a commission as per the provided terms on ShareASale, and per each successful transaction of a customer on Darkroom.
3.2 Commissions will be paid out via the ShareASale platform
4. Term and Termination
4.1 This Agreement shall commence upon approval of the application and continue until terminated by either party.
5. Intellectual Property
5.1 The Company grants the Affiliate a non-exclusive, non-transferable license to use the Company’s trademarks and promotional materials during the term of this Agreement.
5.2 The Affiliate agrees not to modify any of the Company’s trademarks or promotional materials without prior written consent.
6. Limitation of Liability
6.1 The Company shall not be liable for any indirect, incidental, or consequential damages arising out of this Agreement.
7. Confidentiality
7.1 The Affiliate agrees to keep confidential any proprietary information received from the Company.
8. Governing Law
8.1 This Agreement shall be governed by and construed in accordance with the laws of California.
9. Entire Agreement
10.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.
