IONIQ Affiliate Agreement
This Affiliate Agreement ("Agreement") is entered into by and between IONIQ, located in Minnesota, USA ("Company"), and the Affiliate ("Affiliate"), who submits an application to participate in the IONIQ Affiliate Program through ShareASale.
By submitting an application and participating in the IONIQ Affiliate Program, you agree to the terms outlined in this Agreement. Please read it carefully.
1. Definitions
- Affiliate Program: The program operated by IONIQ where Affiliates refer customers to IONIQ’s website in exchange for a commission.
- Affiliate: Any individual or entity that applies and is approved by IONIQ to participate in the Affiliate Program.
- Commission: The fee earned by the Affiliate for generating sales via referral links. The commission rate is 25%.
- Referral Link: A hyperlink provided by ShareASale to track sales generated by the Affiliate.
2. Affiliate Obligations
2.1. Marketing and Promotion
Affiliates agree to actively promote IONIQ’s products using approved marketing materials and adhere to ethical marketing practices.
2.2. Compliance
Affiliates must comply with all applicable laws, including FTC Disclosure Requirements, data protection regulations, and intellectual property rights.
2.3. Trademark Regulations
Affiliates must use IONIQ’s trademarks, logos, and brand elements responsibly and only with IONIQ’s provided materials. Unauthorized alterations or misuse are strictly prohibited.
3. FTC Disclosure Requirements
Affiliates are required to disclose their affiliate relationship with IONIQ in accordance with FTC guidelines. Any promotions, reviews, or endorsements must include clear and conspicuous language disclosing that the Affiliate will earn a commission for sales.
4. Grounds for Termination
4.1. Termination by IONIQ
IONIQ reserves the right to terminate the Affiliate’s participation in the program at any time for:
- Breach of this Agreement;
- Unethical practices, including misleading advertising;
- Non-compliance with trademark, FTC disclosure, or other legal regulations.
4.2. Termination by Affiliate
The Affiliate may terminate this Agreement at any time by providing written notice to IONIQ.
Upon termination, all marketing and promotional efforts related to IONIQ must cease immediately. Commissions will only be paid for valid sales generated prior to termination.
5. Email Marketing Policy
Affiliates must comply with the CAN-SPAM Act when engaging in email marketing. This includes:
- Obtaining consent from recipients before sending promotional emails;
- Providing an easy way to unsubscribe;
- Including the appropriate FTC disclosures.
Unsolicited or "spam" email marketing is strictly prohibited.
6. Social Media Policy
Affiliates are permitted to promote IONIQ products through social media platforms, provided:
- They follow the FTC disclosure guidelines;
- They do not misrepresent or exaggerate the product benefits;
- They do not engage in misleading advertising.
7. Coupons and Deals Policy
Affiliates are permitted to share coupons and deals for IONIQ products, but:
- They must use only IONIQ-approved coupon codes;
- Sharing of unauthorized coupons, deals, or promotions is prohibited;
- Manipulating or altering coupons to mislead customers is strictly forbidden.
8. Special Commission Rules
8.1. Commission Rate
Affiliates will earn 25% commission on each qualified sale generated through their referral link.
8.2. Commission Payment
Commissions are processed and paid through ShareASale according to their payout schedule. IONIQ is not responsible for delays or errors in ShareASale’s payment system.
8.3. Refunds and Chargebacks
If a referred customer cancels or returns their order, or if there is a chargeback, the Affiliate’s commission for that sale will be deducted from future payments.
9. Pay-Per-Click (PPC) Bidding Rules
Affiliates are permitted to engage in pay-per-click advertising but must comply with the following:
- Bidding on IONIQ-branded keywords is prohibited without prior written consent from IONIQ;
- Use of IONIQ trademarks in any PPC ads must be approved;
- Affiliates may not outbid IONIQ on PPC campaigns using IONIQ trademarks or product names.
10. Intellectual Property
10.1. License
IONIQ grants the Affiliate a limited, non-exclusive license to use IONIQ’s trademarks and marketing materials for the sole purpose of promoting IONIQ products under this Agreement.
10.2. Ownership
All intellectual property rights in IONIQ’s trademarks, materials, and content remain with IONIQ. Unauthorized use, modification, or replication of these materials is prohibited.
11. Limitation of Liability
IONIQ makes no express or implied warranties with respect to the Affiliate Program or any products sold through the program. IONIQ is not liable for any indirect or consequential damages arising out of the Affiliate’s participation in the program.
12. Confidentiality
Affiliates agree not to disclose any confidential information provided by IONIQ, including commission structures, marketing strategies, and sales data.
13. Amendments
IONIQ reserves the right to modify the terms of this Agreement at any time. Changes will be communicated through ShareASale or via email. Continued participation in the Affiliate Program constitutes acceptance of the updated terms.
14. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the state of Minnesota, without regard to its conflict of law principles.
By applying to and participating in the IONIQ Affiliate Program, you acknowledge that you have read, understood, and agreed to the terms and conditions of this Agreement.
