BORDERFREEHEALTH.COM AFFILIATE AGREEMENT

This is a binding legal agreement between you and Borderfreehealth.com, LLC. By submitting your online affiliate application you agree to have read and understood the entire terms and conditions contained within this agreement and you agree you are solely responsible for upholding each term outlined within, throughout the duration of your affiliate relationship.
Overview This Agreement contains the complete terms and conditions of the Borderfreehealth.com Affiliate Program. It is made by and entered into between 2311979 Ont Inc O/A Border Free Health (borderfreehealth.com), with its principal place of business at 5800 Ambler Drive, Mississauga, ON, L4W 4J4 and you, the affiliate, and applies to your participation in the Borderfreehealth.com Affiliate Program (the "Affiliate Program" or "Program" or “Partner Program”).
The purpose of this agreement is to allow linking between your website and the Borderfreehealth.com website. Throughout this agreement, “we,” “us,” and “our” refer to Borderfreehealth.com and “you,” “your,” and “yours” refer to the Affiliate in question.
1. Enrollment in the Program To begin the enrollment process, you will complete and submit the request via the Awin system. Once you have done this, your application will automatically enter a pending status queue. The Affiliate Manager will review your application to determine affiliate eligibility in accordance with approval criteria. Please ensure you have reviewed this agreement in its entirety. If you have questions about our eligibility criteria or our review process, we welcome all interested publishers to contact us.
After your application has been reviewed, we will notify you of the decision regarding your admittance to the Borderfreehealth.com Program. We may reject your application (at our sole discretion) if we feel your site is unsuitable or inconsistent with the mission of Borderfreehealth.com. If your site is accepted, Borderfreehealth.com may terminate this Agreement anytime thereafter if your site is determined (at our sole discretion) to be unsuitable for the Program.
2. Promotion of Our Affiliate Program
Upon your acceptance as an Affiliate, we will make available to you a variety of graphic and textual links (the "Links"), which, subject to the terms and conditions hereof, you may display as often and in as many areas of your site as you desire. The Links will serve to identify your site as a member of our Affiliate Program and will establish a link from your site to ours. Please see our promotional compliance sections of this agreement as it pertains to each method to ensure your methods are within the scope of what is acceptable to Borderfreehealth.com. If you have any doubt, please contact us for clarification. It is each Affiliate's responsibility to ensure clear understanding of this agreement, as it pertains to his/her promotional methods.
Borderfreehealth.com Agrees To:
- Pay Affiliate 10% commission (via Awin) per successful, non-fraudulent sale, referred from the affiliate site.
- Provide responsive support to all Affiliates and always do our best to respond to all incoming inquiries & concerns within 1 to 2 business days barring any unforeseen events that may delay correspondence, including but not limited to technical interruptions in service or employee illness/absence.
Affiliate Agrees To:
- Observe Borderfreehealth.com’s exclusive rights as to the names of its properties, or any derivatives thereof, anywhere the brand is represented on the internet. This means Affiliate may not claim to be Borderfreehealth.com, anywhere online. Affiliate must clearly represent as an affiliate. If Affiliate violates this policy, Affiliate will be terminated and Borderfreehealth.com reserves the right to charge back, and/or disallow any and all commissions.
- Remove all links regarding sweepstakes, contests and other promotions on the date such promotions end, and agree to forfeit any commissions earned after the end date of the promotions if you continue to post such links.
- Place Borderfreehealth.com Links on your site.
- Have sole responsibility for the development, operation, and maintenance of your site and for all the materials that appear on your site.
- Ensure that all materials posted on your site are not illegal and do not infringe on the rights of any person or entity of any kind. We disclaim all liability for all materials on your site and any sites you submit content to for purposes of advertising the Borderfreehealth.com brand and any products or services made available through the Borderfreehealth.com website.
- Indemnify, defend, and hold us harmless from all claims, damages, and expenses relating to the development, operation, and contents of your site.
- Ensure that your site does not represent itself as or claim to be an ‘official’ Borderfreehealth.com product site. Affiliates must represent themselves as ‘affiliates of’ Borderfreehealth.com and must include a disclosure statement on their blog or website, where applicable and where legally required.
- Submit the URLs for all sites you plan to use to promote Borderfreehealth.com and its related products/brands via e-mail to affiliates@borderfreehealth.com.
- Affiliates may only engage in PPC/SEM in search engines where pharmaceutical advertising is allowed and must abide by all search engine terms and conditions regarding promotion of pharmaceuticals.
Publicity
You shall not create, publish, distribute, or permit any written material that makes reference to us without first submitting such material to us and receiving our consent.
Confidentiality
Except as otherwise provided in this Agreement or with the consent of the other party hereto, each of the parties hereto agrees that all information, including, without limitation, the terms of this Agreement, business and financial information, customer and vendor lists, and pricing and sales information, concerning us or you, respectively, or any of our Affiliates shall remain strictly confidential. Any such shared information is done so in complete confidence and shall not be utilized, directly or indirectly, by such party for its own business purposes or for any other purpose except and solely to the extent that any such information is generally known or available to the public through a source or sources other than such party hereto or its affiliates.
Payment Terms
Borderfreehealth.com uses a third party to handle all tracking and payments. The third party in this case is the Awin affiliate network. Please review the network’s payment terms and conditions.
