UREVO Affiliate Program Agreement

INTRODUCTION
This Agreement sets forth the complete terms and conditions for your participation as an affiliate in the UREVO Affiliate Program. The purpose of this Agreement is to facilitate HTML linking between your website and the UREVO website. Throughout this Agreement, "we," "us," and "our" refer to UREVO, while "you," "your," and "yours" refer to the affiliate.
1. ACCEPTANCE OF TERMS
By submitting an application to join the UREVO Affiliate Program, you acknowledge that you have read, understand, and agree to be bound by the terms and conditions of this Agreement. We reserve the right to modify these terms and conditions at any time, at its sole discretion, by posting a notice on the Affiliate Program website or by sending an email to you. Such modifications shall be effective immediately upon posting or email notification. Your continued participation in the Affiliate Program after such modifications have been communicated to you shall constitute your acceptance of such modifications.
2. AFFILIATE OBLIGATIONS
2.1. To initiate the enrollment process, you must complete and submit the online application via the ShareASale.com platform. Please note that our auto-approval of applications is not a guarantee of ongoing approval. We retain the right to re-evaluate your application at any time and may reject it at our sole discretion. We may also cancel your application if we determine that your site is not suitable for our Program, including but not limited to instances where it:
2.1.1. Promotes sexually explicit content.
2.1.2. Promotes violence.
2.1.3. Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
2.1.4. Promotes illegal activities.
2.1.5. Contains materials that infringe upon or facilitate the infringement of any copyright, trademark, or other intellectual property rights, or violate the law.
2.1.6. Includes "UREVO" or variations or misspellings thereof in its domain name.
2.1.7. Is otherwise unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically, or otherwise objectionable, as determined by us in our sole discretion.
2.1.8. Contains software downloads that potentially enable the diversion of commissions from other affiliates.
2.1.9. You may not create or design your website, or any other website under your operation, to resemble our website, nor design it in a way that leads customers to believe you are UREVO or any other affiliated business.
2.2. As a member of the UREVO Affiliate Program, you will have access to our Program details, archived affiliate newsletters, and banner creatives. You can also browse and obtain tracking codes for our coupons and deals. To ensure accurate tracking of all guest visits from your site to ours, you must use the HTML code we provide for each banner, text link, or other affiliate link.
2.3. We reserve the right to review your link placement at any time and to approve or require changes to comply with the guidelines we provide.
2.4. The maintenance and updating of your site are your responsibilities. We may monitor your site as needed to ensure it remains up-to-date and to suggest any changes that could enhance your performance.
2.5. You are solely responsible for adhering to all applicable intellectual property and other laws pertaining to your site. You must have express permission to use any copyrighted material, whether it be text, images, or other copyrightable works. We will not be held responsible, and you will be solely liable, for any misuse of copyrighted material or other intellectual property in violation of the law or third-party rights.
3. UREVO RIGHTS AND OBLIGATIONS
3.1. We reserve the right to monitor your site at any time to ensure compliance with the terms and conditions of this Agreement. We may suggest changes to your site or your links to our website if we deem it necessary. If you fail to make the necessary changes, we reserve the right to terminate your participation in the UREVO Affiliate Program.
3.2. We reserve the right to terminate this Agreement and your participation in the Affiliate Program immediately and without notice if you engage in fraudulent activities or abuse the program in any way. In the event of detected fraud or abuse, UREVO shall not be liable for any commissions on such fraudulent sales.
3.3. This Agreement commences upon our acceptance of your Affiliate application and continues until terminated as provided herein.
4. COMMISSIONS AND PAYMENT TERMS
4.1. You will earn a commission (the "Commission") for each Qualified Sale made through your Links.
4.2. A "Qualified Sale" is defined as a sale of UREVO products where the customer completes the transaction via your Links and does not return the product within our specified return period (30 days).
4.3. UREVO utilizes a third party, ShareASale.com, to handle all tracking and payment processing. Please review the network's payment terms and conditions for further details.
5. TERM AND TERMINATION
Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Written notice can be in the form of mail, email, or fax. This Agreement will also terminate immediately upon any breach of its terms by you.
6. DISCLAIMER OF WARRANTIES
UREVO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. LIMITATION OF LIABILITY
WE SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF REVENUE, GOODWILL, OR ANTICIPATED PROFITS, OR LOSS OF BUSINESS) UNDER ANY CIRCUMSTANCES ARISING OUT OF OR RELATED TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, UREVO'S CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSION FEES PAID TO YOU UNDER THIS AGREEMENT.
8. INDEMNIFICATION
You agree to indemnify, defend, and hold UREVO harmless from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorney's fees) arising from or relating to any breach of this Agreement by you.
9. MISCELLANEOUS
9.1. This Agreement constitutes the entire agreement between UREVO and you concerning the Affiliate Program and supersedes all prior agreements, proposals, and communications.
9.2. You agree to comply with all applicable laws and regulations in connection with your participation in the Affiliate Program.
9.3. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions.
9.4. You acknowledge responsibility for reviewing and complying with the UREVO Affiliate Program Policies, which are incorporated into this Agreement by reference.
