This Affiliate Agreement (the "Agreement") is made by and between Zen Organics Inc doing business as Down To Earth Primitive Extracts (referred to as "the Company"), and you as the affiliate (referred to as "Affiliate"). By enrolling in the program, you agree to comply with the following terms and conditions.
1. Eligibility
- The Affiliate must be at least 18 years old and a legal resident of the USA.
- The Affiliate must comply with all federal, state, and local laws, particularly concerning the marketing and sale of CBD products.
2. Commission Structure
- Affiliates earn a base commission of 15% on qualifying sales. Performance-based increases may apply for top-performing affiliates.
- Commission is calculated on the total net sales, excluding taxes, shipping, discounts, and returns.
- Payments will be made monthly via direct deposit, with a minimum payout threshold of $50. Unpaid balances roll over to the next month.
3. Cookie Policy
- A 60-day cookie policy is in effect. If a customer makes a purchase within 60 days of clicking the Affiliate’s link, the sale is attributed to the Affiliate unless voided by return, refund, or cancellation.
4. Prohibited Activities
No Pay-Per-Click (PPC) Campaigns: Affiliates are prohibited from running any PPC campaigns (Google Ads, Bing Ads, etc.) or paid search marketing that directs traffic to Down To Earth Primitive Extracts.
Brand Protection:
- Affiliates may not use the Company's brand names, product names, or any variations in domains, subdomains, or URLs (e.g., www.usadowntoearth.affiliate.com or www.affiliate.com/downtoearth).
- Affiliates must not impersonate the Company or mislead users into believing their website or content represents the Company.
- No use of the Company's names or products in PPC ads, social media accounts, or display URLs (e.g., www.affiliate.com/usadowntoearth, www.affiliate.com/zenorganics).
False or Misleading Promotions:
- Affiliates are only permitted to promote official coupon codes and discounts provided directly by the Company.
- Promotion of expired, made-up, or unauthorized discounts will result in immediate termination of the Affiliate’s account and forfeiture of commissions.
Intrusive Advertising & Cookie Stuffing:
- Affiliates may not use pop-ups, pop-unders, iframes, or any other intrusive advertising formats.
- Cookie stuffing (forcing cookies without the user’s consent) or similar deceptive practices are strictly forbidden.
Incentivized Traffic:
- Affiliates are not allowed to use incentivized traffic methods (e.g., cashback, reward points, or loyalty programs) unless expressly approved by the Company.
No Unverified Claims:
- Affiliates must comply with FDA and FTC guidelines, avoiding any medical claims about CBD products. Promotional content must not claim that the Company's products cure, prevent, or treat any diseases or conditions unless officially approved by the Company.
5. Creative and Marketing Materials
- Affiliates must use only the banners, links, and marketing materials provided by the Company, unless approved by the Company during the application process.
- Affiliates are prohibited from altering the Company’s creative materials without express permission.
- All email marketing campaigns must be pre-approved by the Company before being sent out.
6. Affiliate Payment
- Affiliate commissions are approved after orders have been placed, processed, and confirmed by the Company.
- The Company reserves the right to void any commission for fraudulent or non-compliant transactions.
- Payments are made on the 15th of each month, following the previous month's sales cycle, provided the $50 minimum threshold is met.
7. Termination
- Either party may terminate this Agreement at any time, with or without cause. Any commissions earned prior to termination will be paid, provided they meet the terms of this Agreement.
- Affiliates who violate any terms outlined in this Agreement will have their participation in the program terminated immediately, and any unpaid commissions will be forfeited.
8. Changes to the Agreement
- The Company reserves the right to modify these terms at any time. Affiliates will be notified of material changes at least 30 days prior to implementation. Continued participation in the program after changes are implemented constitutes acceptance of the updated terms.
