**Cotton Candy LA Affiliate Agreement**
This Affiliate Agreement (“Agreement”) is made and entered into by and between Cotton Candy LA, LLC (“Company”) and the undersigned affiliate (“Affiliate”).
**1. Commission Rate**
- The Affiliate will earn a commission of 12% on all qualifying sales generated through their unique affiliate links.
**2. Trademark Regulations**
- Affiliate is granted a non-exclusive, non-transferable right to use the Company’s trademarks, logos, and other intellectual property solely for the purpose of promoting the Company’s products in compliance with this Agreement.
- Any use of the Company’s trademarks must adhere to the branding guidelines provided by the Company.
- The Affiliate must not modify the trademarks or logos without prior written consent from the Company.
**3. Email Marketing Policy**
- Affiliate must comply with all applicable laws and regulations related to email marketing, including but not limited to CAN-SPAM Act requirements.
- Affiliate must not use email marketing campaigns that could harm the reputation of the Company. This includes, but is not limited to, spamming or using misleading or false information.
**4. FTC Disclosure Requirements**
- Affiliate must clearly disclose the relationship between the Affiliate and the Company in all communications, as required by the Federal Trade Commission (FTC) guidelines.
- This disclosure must be prominent and appear on any content or page where affiliate links are used.
**5. Grounds for Termination**
- The Company reserves the right to terminate this Agreement immediately if the Affiliate breaches any terms of this Agreement.
- Grounds for termination include but are not limited to: engaging in unlawful activities, violating trademark guidelines, spamming, or failing to comply with FTC disclosure requirements.
- In the event of termination, the Affiliate will forfeit any unpaid commissions.
**6. Social Media Policy**
- Affiliate may promote the Company’s products through social media channels, provided they adhere to all social media platform policies and regulations.
- Affiliate must ensure that all posts, comments, or promotions are in good taste and do not damage the reputation of the Company.
**7. Coupons and Deals Policy**
- Affiliate may only use official coupons and deals provided directly by the Company.
- Unauthorized coupon codes or deals are strictly prohibited and may result in termination of this Agreement.
**8. Special Commission Rules**
- The Company may, at its discretion, offer special commission rates for specific promotions or products. The Affiliate will be notified in advance of any changes.
- Special commissions may have their own terms and conditions, which will be communicated to the Affiliate before the promotion begins.
**9. Pay Per Click (PPC) Bidding Rules**
- Affiliate is prohibited from bidding on any keywords containing the Company’s trademarks or any variations or misspellings of these trademarks in PPC campaigns.
- All PPC campaigns must comply with the advertising policies of the platform being used.
**10. Miscellaneous**
- This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind.
- Any amendments or modifications to this Agreement must be in writing and signed by both parties.
**11. Governing Law**
- This Agreement will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
**12. Acceptance**
- By signing this Agreement, the Affiliate acknowledges that they have read, understand, and agree to the terms and conditions set forth above.
