AFFILIATE PROGRAM AGREEMENT
This Affiliate Program Agreement ("Agreement") is made and entered into by and between Clean Maple LLC, having its principal place of business at 416 Stagecoach Lane ("Company"), and the undersigned affiliate ("Affiliate").
1. Purpose
The purpose of this Agreement is to establish the terms and conditions under which Affiliate will promote and market the Company's products through the Affiliate's marketing channels in exchange for commissions on sales generated by Affiliate's promotional activities.
2. Enrollment in the Affiliate Program
2.1 To enroll in the Affiliate Program, Affiliate must complete and submit the online application form within Share-A-Sale. The Company reserves the right to accept or reject any Affiliate application at its sole discretion.
2.2 Upon acceptance into the Affiliate Program, the Company will provide Affiliate with a unique Affiliate ID and access to marketing materials, including banners, text links, and product images.
3. Affiliate Responsibilities
3.1 Affiliate agrees to actively promote and market the Company's products using ethical marketing practices.
3.2 Affiliate shall not engage in any illegal or unethical marketing practices, including but not limited to, spamming, false advertising, or trademark infringement.
3.3 Affiliate shall not make any representations or warranties concerning the Company's products that are not expressly authorized by the Company.
4. Commissions
4.1 The Company will pay Affiliate a commission of 30% of the Net Sales generated through the Affiliate's unique Affiliate ID.
4.2 "Net Sales" refers to the total amount of sales generated by the Affiliate, less any discounts, refunds, chargebacks, or taxes.
4.3 Commissions will be paid on a monthly basis, provided the Affiliate's commission balance meets the minimum payout threshold of $100. If the commission balance does not meet the threshold, it will be carried over to the next payout period.
5. Intellectual Property
5.1 The Company grants Affiliate a non-exclusive, non-transferable, revocable license to use the Company's trademarks, logos, and marketing materials solely for the purpose of promoting the Company's products in accordance with this Agreement.
5.2 Affiliate shall not modify, alter, or create derivative works of the Company's trademarks or marketing materials without the prior written consent of the Company.
6. Term and Termination
6.1 This Agreement shall commence on the date of acceptance into the Affiliate Program and shall continue until terminated by either party.
6.2 Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
6.3 Upon termination of this Agreement, Affiliate shall immediately cease using the Company's trademarks, logos, and marketing materials.
7. Limitation of Liability
The Company shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, even if advised of the possibility of such damages.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Vermont, without regard to its conflict of laws provisions.
9. Miscellaneous
9.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter herein.
9.2 The Company may modify the terms of this Agreement at any time by providing written notice to Affiliate. Continued participation in the Affiliate Program after such notice constitutes acceptance of the modified terms.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date of the Affiliate's acceptance into the Affiliate Program.
