Program Terms

1. Merchant is responsible for providing promotional materials, tracking sales, and paying commissions to the Affiliate.
2. Affiliates are responsible for promoting the Merchant's products in accordance with the program guidelines, maintaining the integrity of the Merchant's brand, and adhering to the program's terms and conditions.
3. Affiliates will be compensated through a percentage of sales, a fixed amount per lead, or other performance-based metrics.
4. Payment Thresholds: a minimum amount must be earned before a payment is issued.
5. Affiliates must adhere to the Merchant's trademark usage guidelines, which may include restrictions on the use of the Merchant's trademarks, logos, and other intellectual property.
6. Affiliates must protect confidential information and ensure its secure handling.
7. Affiliates must comply with data protection laws and implement measures to protect personal data.
8. Specific Constraints for Affiliates in ShareASale
8.1 Brand Term Usage
Affiliates are prohibited from bidding on the Merchant's trademarked terms, including any variations or misspellings, for search or content-based campaigns on Google, Bing, Yahoo, or any other network, unless expressly permitted in writing.
8.2 Coupon and Deal Usage
Affiliates may only advertise coupon codes provided through the affiliate program or network. They may not advertise coupon codes obtained from non-affiliate advertising, customer emails, paid search, or any other campaign.
8.3 PPC Guidelines
Affiliates must adhere to the Merchant's PPC guidelines, which may include restrictions on bidding on certain keywords and the use of the Merchant's URL as a Display URL.
8.4 Social Media Policy
Affiliates are not permitted to use the Merchant's trademarked terms or any variations to create pages or accounts on social media platforms such as Facebook, YouTube, Twitter, Reddit, or Instagram.
8.5 Email Marketing Policy
Affiliates must comply with the CAN-SPAM Act of 2003 and other applicable email marketing regulations.
8.6 FTC Advertising Policy
Affiliates must comply with the Federal Trade Commission's advertising guidelines, including disclosing any material connections with the Merchant.
8.7 Special Commission Rules
The Merchant may set special commission rules based on performance, such as increasing the commission rate for affiliates who generate a certain amount of sales.
8.8 CPC Advertising Policy
Affiliates must adhere to the Merchant's CPC advertising policies, which may include restrictions on bidding on certain keywords and the use of specific advertising techniques.

By signing this Agreement, Affiliate acknowledges that they have read, understood, and agree to abide by all the terms and conditions outlined herein.
