1. Introduction
This Affiliate Program Agreement (the "Agreement") is made between Aku Pirinen Professional Services Oy ("Company") and the affiliate ("Affiliate"), collectively referred to as the "Parties". By enrolling in the affiliate program (the "Program"), the Affiliate agrees to comply with the terms and conditions outlined in this Agreement.
2. Affiliate Enrollment
The Company reserves the right to accept or reject any affiliate application at its sole discretion.
3. Promotion of Products and Services
Upon enrollment, the Affiliate will receive a unique affiliate link and promotional materials to use in marketing the Company's products and services. The Affiliate agrees to use only the approved promotional materials and affiliate link provided by the Company.
4. Affiliate Responsibilities
The Affiliate agrees to:
Promote the Company's products, and services in a professional and ethical manner.
Ensure that all marketing efforts comply with applicable laws and regulations.
Avoid making false or deceptive claims about the Company's products and services.
Not engage in any form of spamming or unsolicited advertising.
5. Compensation
The Company will pay the Affiliate a commission for each qualifying sale made through the Affiliate's unique link.
6. Tracking and Reporting
The Company will provide the Affiliate with access to an online portal where they can track sales and commissions. The Affiliate is responsible for ensuring that their contact and payment information is up-to-date.
7. Term and Termination
This Agreement will remain in effect until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, the Affiliate must cease using the affiliate link and all promotional materials provided by the Company.
8. Confidentiality
The Affiliate agrees to keep confidential all information related to the Company's business, including but not limited to sales data, customer information, and marketing strategies. This obligation of confidentiality will survive the termination of this Agreement.
9. Limitation of Liability
The Company will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with this Agreement or the Program. The Company's total liability in connection with this Agreement will not exceed the total commissions paid to the Affiliate.
10. Indemnification
The Affiliate agrees to indemnify and hold harmless the Company from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with the Affiliate's participation in the Program or breach of this Agreement.
11. Governing Law
This Agreement will be governed by and construed in accordance with the laws of EU. Any disputes arising out of or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts located in EU.
12. Amendments
The Company reserves the right to modify the terms and conditions of this Agreement at any time. The Affiliate will be notified of any changes via email or through the affiliate portal. Continued participation in the Program constitutes acceptance of the modified terms.
13. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter herein.
14. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remainder of this Agreement will continue in full force and effect.
15. Assignment
The Affiliate may not assign or transfer their rights or obligations under this Agreement without the prior written consent of the Company.
16. Relationship of Parties
Nothing in this Agreement shall be construed to create any partnership, joint venture, employer-employee, or agency relationship between the Company and the Affiliate.
By enrolling in the Program, the Affiliate acknowledges and agrees to the terms and conditions set forth in this Agreement.
