Terms and Conditions for Awin Affiliates for Xiaomi

Compliance with Laws and Ethical Standards
Affiliates ("Publishers") are required to:
- Fully comply with all applicable laws, social norms, and ethical practices.
- Refrain from actions that violate the rights of third parties.
- Comply with all relevant privacy and data protection regulations, including the GDPR. For more information, please refer to Xiaomi’s Privacy Policy.
Permitted and Prohibited Content
Publisher applications that contain or are associated with the following content are not permitted:
- Click-Prompt/Click-Compulsion: Sites or banners with forced clicks (e.g., SMS sending, paid-for-action pages).
- Paid-Link Collections: Sites that focus on aggregating paid links without providing clear value.
- Illegal or Harmful Content: Sites with content that glorifies violence, discriminates, is pornographic, harmful to minors, or illegal in nature.
- Malicious Software: Sites containing dialers, spyware, or other software that installs harmful programs on users' devices.
- Morality Violations: Content that violates common morality, applicable laws, or the rights of third parties.
- Aggressive Comparative Advertising: Any form of aggressive comparative advertising or claims against competitors that are unsubstantiated and may generate disputes.
Usage of Marketing Materials
- Authorized Materials: Publishers may only use marketing materials provided directly by Xiaomi.
- Custom Materials: If Publishers wish to use other materials, written or email consent must be obtained for each specific instance.
- Approval for Ads: All fixed-format advertisements must receive prior approval from Xiaomi. Publishers must submit ad previews for review via designated contact points.
- Copy Restrictions: Marketing content, including text and images, must be used as provided by Xiaomi or Awin without modifications.
Confidentiality
Publishers agree to maintain the confidentiality of Xiaomi’s proprietary and sensitive information, including:
- Details of upcoming product launches.
- Planned marketing, advertising, or promotional activities.
- Press releases and marketing materials before public publication.
Confidentiality Requirements:
- Limit access to confidential information to only those who need it.
- Protect this information with the same level of security applied to the Publisher’s own sensitive data.
- Ensure any third parties acting on the Publisher’s behalf adhere to these confidentiality obligations.
Publishers are fully responsible for any breach of confidentiality, including breaches caused by third parties.
Approval Requirements
- Marketing Consent: Acceptance into the Xiaomi affiliate program does not grant consent to begin marketing activities.
- Written approval is required for campaign details (e.g., platforms, ad formats, audience targeting, and GDPR compliance).
- Pre-Approval for Assets: All marketing assets (ad copy, images, videos) must be approved before being published.
Liability
Breach of Terms: Any violation of these terms will result in:
- The decline or reversal of commissions (including those already paid).
- Full reimbursement of commissions paid out.
- Sole liability for any costs or damages incurred due to the breach.
Third-Party Responsibility: Publishers accept full liability for the actions of third parties acting on their behalf. They are responsible for ensuring these third parties comply with these terms and for any consequences resulting from non-compliance.
Restrictions on Marketing Channels
- Vouchers and Coupons: Use of vouchers or coupons requires explicit prior consent.
- Email Marketing: Only GDPR-compliant, double-opted-in email databases are allowed. Incentive-based sign-ups are prohibited.
- Display Advertising: Full transparency is required. Publishers must submit all relevant campaign details (ad copy, targeting, platforms) for approval before launching campaigns.
- Comparison Shopping: Accurate product details must be used, and any changes to product copy or imagery must be approved.
Fraud Prevention
Affiliates promoting cashback offers or similar schemes are responsible for preventing fraudulent activities and covering any associated costs or damages.
Search Engine Marketing (SEM) and Bidding
- Prohibited SEM Practices:
- Affiliates are expressly prohibited from placing bids on "Xiaomi" or any brand-related terms in search engine advertising (e.g., Google Ads, Yahoo! Search Marketing, Bing Ads) or Google Shopping ads (CSS).
- Bidding on terms like "Xiaomi Coupon", "Xiaomi Discount", or similar variations is not permitted.
- Search Engine Marketing is only allowed for generic terms leading to the Publisher's own site, which in turn leads to Xiaomi’s official website (Xiaomi.com).
- Affiliates may not use the Xiaomi brand name or any variant (including typos) in paid search campaigns, URLs, or ad copy.
- Failure to comply with these SEM guidelines will result in immediate exclusion from the affiliate program and cancellation of all sales.
General Terms
- Written Consent: All marketing activities require explicit written consent from Xiaomi. Approval granted for one campaign does not automatically apply to future activities.
- Non-compliance: Any breach of terms will result in declined or reversed commissions, and the Publisher will be liable for costs or damages.
- Clarity: Ambiguities or errors in these terms cannot be used as justification for non-compliance. Always seek clarification if unsure.
Note: Any disputes or enforcement actions will be handled directly between the Publisher and Xiaomi.
By participating in the Xiaomi Affiliate Program, you agree to comply with these Terms and Conditions in full.
