Zatik Inc. Affiliate Program Terms and Conditions

These Terms and Conditions (“Agreement”) govern your participation in the Zatik Inc. Affiliate Program (the “Program”) through the Awin platform. By signing up as an affiliate, promoting Zatik products, and using Awin’s affiliate platform, you agree to comply with the following terms.
1. Introduction
The Zatik Inc. Affiliate Program allows registered affiliates (“Affiliates” or “You”) to promote Zatik’s products and earn commissions through sales or actions completed via affiliate links provided on Awin’s platform (“Platform”). By participating in the Program, you agree to these Terms and Conditions and acknowledge that Awin will manage tracking, payments, and analytics of the Program.
2. Affiliate Eligibility
To participate in the Program, you must:
Be registered and approved by Awin as an affiliate.
Have an active account with Awin.
Comply with all applicable laws and regulations in your jurisdiction.
Zatik Inc. reserves the right to reject any application or terminate any affiliate’s participation in the Program if they do not meet eligibility requirements or breach these Terms and Conditions.
3. Affiliate Obligations
As an Affiliate, you agree to:
Promotion of Zatik Products: You will promote Zatik products (the “Products”) using affiliate links, banners, and other promotional materials provided via Awin’s platform.
Comply with Awin’s Terms: Your promotion of Zatik products must adhere to Awin’s platform policies, guidelines, and all applicable laws. Any content that is misleading, offensive, or deceptive will result in immediate termination from the Program.
Integrity in Marketing: You agree not to engage in practices such as spamming, infringing on intellectual property rights, or using misleading information in your promotional efforts.
Use of Proper Branding and Assets: You are granted limited, non-exclusive rights to use Zatik’s trademarks, logos, and promotional materials solely for the purpose of promoting Zatik products through the Program. Any use outside this scope requires prior written approval from Zatik Inc.
4. Commissions and Payments
Commission Structure: You will earn commissions based on sales or actions that result from the affiliate links you share. The specific commission structure will be available in the Awin platform. Zatik Inc. may adjust commission rates or terms from time to time, subject to notification through Awin.
Payment Terms: Commission payments will be processed by Awin in accordance with Awin’s payment schedule. Awin will handle all payments, subject to the payment terms outlined by Awin.
Refunds and Chargebacks: If a customer cancels or requests a refund for a purchase made through your affiliate link, commissions will be adjusted accordingly. You are not entitled to commission on refunded or canceled transactions.
5. Prohibited Activities
Affiliates agree to refrain from the following activities while participating in the Program:
Fraudulent Activity: You must not engage in any fraudulent activities, such as generating fake traffic or using click fraud.
Infringing Content: Affiliates cannot use content that infringes upon any third-party intellectual property rights, including copyrighted materials or trademarks.
Misleading Advertising: Affiliates are prohibited from making false claims about Zatik’s products or services.
Disparagement: Affiliates must not disparage Zatik Inc. or its products in any way.
6. Affiliate Tracking and Reporting
Awin will track affiliate sales and actions using its platform’s analytics and reporting tools. Affiliates will be able to view their performance, including commissions earned and sales metrics, via the Awin platform. Zatik Inc. relies on Awin’s system for accurate tracking and cannot be held liable for discrepancies caused by technical errors or misreporting by the platform.
7. Termination of Agreement
This Agreement may be terminated:
By Zatik Inc.: Zatik Inc. reserves the right to terminate your participation in the Program at any time for any reason, including but not limited to violation of these Terms and Conditions or failure to comply with Awin’s guidelines.
By Affiliate: You may terminate your participation by providing written notice to Awin. Upon termination, you must immediately cease promoting Zatik products and using affiliate links.
By Awin: Awin may also terminate the relationship if the affiliate does not comply with Awin’s platform policies or engages in activities that harm the integrity of the Program.
Termination does not affect your right to receive commissions earned prior to termination, subject to Awin’s payment terms.
8. Confidentiality
Affiliates agree to maintain the confidentiality of all information related to the Program, including commission structures, customer information, and proprietary business details, which are shared for the purposes of promoting Zatik’s products. This obligation survives the termination of your participation in the Program.
9. Limitation of Liability
Zatik Inc. and Awin shall not be held liable for any indirect, incidental, special, or consequential damages arising from your participation in the Program, including but not limited to lost profits, revenue, or data.
10. Indemnification
You agree to indemnify, defend, and hold harmless Zatik Inc., Awin, and their affiliates, officers, employees, and agents from any claims, damages, or liabilities arising out of your actions, including any violation of these Terms and Conditions or any infringement of intellectual property rights.
11. Governing Law
This Agreement shall be governed by the laws of [Insert Jurisdiction], without regard to its conflict of laws principles. Any disputes arising from or relating to this Agreement shall be resolved in the competent courts of [Insert Jurisdiction].
12. Modifications to Terms
Zatik Inc. reserves the right to modify or update these Terms and Conditions at any time. Any changes will be communicated to affiliates through Awin’s platform. Your continued participation in the Program after such changes will constitute your acceptance of the revised terms.
13. Miscellaneous
Entire Agreement: This Agreement constitutes the entire agreement between you and Zatik Inc. regarding your participation in the Program.
Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in effect.
No Waiver: Failure by Zatik Inc. or Awin to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement.
