1. Introduction & Agreement
This Agreement contains the complete terms and conditions that govern your participation in the [Your Company Name] Affiliate Program (the "Program") via the Awin network. By registering for or using the Program, you (the "Affiliate" or "Publisher") agree to be bound by these Terms and Conditions in their entirety.
2. Enrollment & Qualification
2.1. To begin the enrollment process, you must submit a complete application through our Awin portal. We reserve the right to approve or reject any application at our sole discretion for any reason.
2.2. Reasons for rejection may include, but are not limited to: a website or social channel that contains unlawful, discriminatory, or objectionable content (e.g., promotes violence, hate speech, pornography, or illegal activities); engages in intellectual property infringement; uses spyware, malware, or forced-click methods (e.g., cookie stuffing); or is otherwise unsuitable for our brand.
3. Promotion & Compliance
3.1. Grant of License: Upon acceptance, we grant you a non-exclusive, revocable license to use the provided tracking links and marketing materials solely for the purpose of promoting ikier.
3.2. Prohibited Activities: You MUST NOT:
* Bid on Brand Terms: Use our brand names, trademarks, or any variations or misspellings thereof as keywords in paid search campaigns (e.g., Google Ads, Microsoft Advertising). This includes, but is not limited to, [ikier],[ikier.com].
* Use Branded URLs: Register or use domains, subdomains, or social media handles that include our trademarks.
* Engage in Misrepresentation: Claim to be an official site or representative of [ikier], or otherwise misrepresent your relationship with us.
* Use Unethical Marketing: Utilize spam, pop-ups/unders, adware, or any form of fraudulent activity to generate traffic.
* Self-Refer: Make purchases through your own affiliate links.
3.3. Coupon & Voucher Sites: If you operate a coupon/voucher site, you agree to:
* Only display coupon codes that are explicitly provided to you by us via the Awin network.
* Remove any expired or invalid codes within 24 hours of their expiration.
* Not scrape, copy, or source codes from any third-party site or unauthorised means.
3.4. Disclosure Requirements: You must clearly and conspicuously disclose your affiliate relationship on your site in accordance with the FTC Guidelines (or your local regulatory body). A common disclosure is: "This post may contain affiliate links, which means I may receive a commission if you make a purchase using these links."
4. Commissions & Payment
4.1. Commission Structure: You will earn a commission of [2-8% on the total product value] for each Validated Sale.
4.2. Cookie Duration: A cookie tracking period of 50 days will be applied from the date of the initial click. Commissions are only awarded for sales that occur within this period.
4.3. Validated Sale Definition: A "Validated Sale" is a sale that is tracked through your affiliate link, is not cancelled, returned, or charged back, and is not identified as fraudulent. The final decision on the validity of a sale rests with [Your Company Name].
4.4. Payment: Commissions will be processed and paid by Awin on a monthly basis, subject to you reaching the minimum payment threshold set by Awin. You are responsible for providing correct payment details within your Awin account.
5. Termination
Either party may terminate this Agreement at any time, with or without cause, by providing the other party with written notice. Upon termination, you must immediately remove all affiliate links and marketing materials from your website.
6. Liability & Relationship
6.1. We make no express or implied warranties or representations with respect to the Program. We shall not be liable to you for any indirect, special, or consequential damages arising in connection with this Agreement.
6.2. You are an independent contractor. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, or employment relationship between the parties.
7. Governing Law & Modifications
7.1. This Agreement shall be governed by and construed in accordance with the laws of State of New York.
7.2. We reserve the right to modify any of the terms and conditions within this Agreement at any time, at our sole discretion. Modifications will be posted on the Awin network, and your continued participation in the Program constitutes acceptance of these changes.
