Affiliate Program Terms and Conditions
1. Agreement
1.1 This Affiliate Program Agreement (the "Agreement") is made and entered into by and between Lumy Health™ and the affiliate ("Affiliate"). By participating in the Company's Affiliate Program, the Affiliate agrees to comply with and be bound by the terms and conditions set forth in this Agreement.
2. Definitions
2.1 Affiliate: A person or entity that promotes the Company's products or services in exchange for a commission.
2.2 Commission: The payment Affiliate receives for successfully promoting the Company's products or services as per the terms outlined in this Agreement.
3. Affiliate Obligations
3.1 Affiliate agrees to promote Company's products or services in a manner consistent with good business ethics and in compliance with all applicable laws and regulations.
3.2 Affiliate shall not engage in any deceptive, misleading, illegal, or unethical marketing practices while promoting the Company's products or services.
3.3 Affiliate is responsible for ensuring that its promotional activities do not infringe upon the intellectual property rights of any third party.
4. Commissions and Payments
4.1 The Company agrees to pay the Affiliate a commission for each sale or action generated through the Affiliate's unique affiliate link.
4.2 Commissions shall be paid according to the payment schedule specified by the Company.
4.3 Payments will be made in the currency agreed upon by both parties.
5. Intellectual Property
5.1 Company grants Affiliate a non-exclusive, non-transferable, revocable right to use Company's logos, trademarks, and promotional materials for the sole purpose of promoting Company's products or services.
5.2 Affiliate shall not modify or alter any of the Company's intellectual property without the prior written consent of the Company.
6. Term and Termination
6.1 This Agreement shall begin upon acceptance of Affiliate into the Affiliate Program and shall continue until terminated by either party.
6.2 Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.
7. Confidentiality
7.1 Affiliate agrees to keep confidential any non-public information received from the Company during the term of this Agreement.
8. Limitation of Liability
8.1 Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.
9. Governing Law
9.1 This Agreement shall be governed by and construed in accordance with the laws of the state or country where the Company is located, without regard to its conflict of law principles.
