Pascoe Canada Affiliate Program Terms and Conditions
As an authorized affiliate (Affiliate) of Pascoe Canada, you agree to abide by the terms and conditions contained in this Agreement (Agreement). Please read the entire Agreement carefully before registering and promoting Pascoe Canada as an Affiliate.
Your participation in the Program is solely to legally advertise our website to receive a commission and products purchased by individuals referred to Pascoe Canada by your own website. This program is for online sales only and door to door sales are not permitted through this channel.
By signing up for the Pascoe Canada Affiliate Program (Program), you indicate your acceptance of this Agreement and its terms and conditions.
1. Approval or Rejection of the Application
We reserve the right to approve or reject ANY Affiliate Program Application in our sole and absolute discretion. Affiliates will have no legal recourse against us for the rejection of their Affiliate Program Application.
2. Commissions
Commissions will be paid Once a month and after the Validation period of 30 days.
The Affiliate cannot refer themselves and will not receive a commission on their own accounts. There is a cookie lifetime of 30 days on our program. Therefore, the Affiliate is entitled to receive a commission on any sales during 30 days after the first referral through the Affiliate website. There is also a limit of one commission per referral. If someone clicks the link on the Affiliate site and orders multiple times, then the Affiliate will receive a commission on the first order only (Existing vs New Client policy)
Existing Vs New Clients: Commissions are allocated to only New clients who click on the Affiliate links. Also, Pascoe Canada has a full line of products that is available ONLY to B2B clients and not been included in the Affiliate program product feed. B2B clients should register through an approval process. Therefore, if any B2B client clicks on the Affiliate's link, no commission will be allocated to the Affiliate.
Commission is not payable to affiliates for the duration that they bid on brand keywords, misspells, or use the Pascoe Canada brand within their ad copy or URLs. For full PPC terms & conditions please see the "PPC" tab.
Cash back, Loyalty, and coupon codes publishers will receive a lower comission rate than the default commission rate.
Payments will only be sent for transactions that have been successfully completed. Transactions that result in chargebacks or refunds will not be paid out.
3. Goodwill and brand protection
In order to protect the product, service, brand and goodwill of Pascoe Canada, the Affiliate hereby covenants, undertakes and warrants that the Affiliate Website(s) (including all other websites (directly or indirectly) owned, controlled or hosted by the Affiliate or companies within the Affiliate Group) is (and shall remain) sufficiently and substantially distinct and different from the Pascoe Canada Website (to be determined at Pascoe Canada sole discretion). As the Affiliate of Pascoe Canada, you hereby agree and acknowledge that for the term of this Agreement and continuing thereafter:
3.1 the look and feel of the Affiliate Website(s) (including all other websites (directly or indirectly) owned, controlled or hosted by the Affiliate) shall be distinctly and significantly different to the Pascoe Canada Website including in respect of the colour scheme, the composition, the typefaces, the design and the layout (including the brand), the (click) buttons, boxes and banners and the available features (save for those features reasonably required for the performance of the Affiliate’s obligations under this Agreement);
3.2 any logo(s) used on the Affiliate Website(s) (including all other websites owned, controlled or hosted by the Affiliate) shall be distinctly different to the Pascoe Canada logo (save for any logo that may be provided by Pascoe Canada for use by the Affiliate under or pursuant to this Agreement);
3.3 the Affiliate shall not in any way imitate or copy the Pascoe Canada Websites (in general or in respect of certain (new) features, pages, form, composition or aspects), and
3.4 the Affiliate shall promptly comply at its own costs with any reasonable requests from Pascoe Canada to make such (further) changes, alterations or amendments to any aspect of the Affiliate Website(s) which is or can be regarded to be confusingly or significantly similar to any element of the Pascoe Canada Website.
4. Intellectual Property Rights
4.1 The Affiliate acknowledges that Pascoe Canada shall retain ownership of all rights, title and interest in and to all Intellectual Property Rights of Pascoe Canada or embodied in the Pascoe Canada Website, including (but not limited to) the Pascoe Canada logo, the Content and the Pascoe Canada Data. Nothing contained in this Agreement shall be deemed to transfer any such right, title or interest to the Affiliate in any way.
4.2 The Affiliate shall not (directly or indirectly) register, acquire, use, purchase or obtain Internet domain name which incorporates any word or words which are identical, or confusingly or substantially similar to "Pascoe Canada" or any variations, translations or misspellings thereof, included as part of the address.
4.3 By entering into this Agreement, Pascoe Canada does not (explicitly or tacitly) waive or forfeit any of its rights to which it is entitled by any law, contract or otherwise (now or in the future) in respect of the Pascoe Canada Intellectual Property Rights vis-à-vis the Affiliate or other third parties.
5. Affiliate Links-Creative
5.1 The Affiliate may use graphic and text links both on the Affiliate website and within in their email messages. The Affiliate may also advertise the Pascoe Canada site ONLY ONLINE.
5.2 The Affiliate must not use copycat sites or use any content or images from any Pascoe websites, except for content and images which have been expressly allowed for use by Affiliate Partners. The Affiliate may use the links and/or banner ads that Pascoe Canada provides to Affiliate Partners only in the form in which they are provided. Subject to the limitations contained herein, the Affiliate may place such links and/or banner ads on their own website in whatever location the Affiliate prefers.
5.3 The Affiliate should use the graphics and text provided by Pascoe Canada or is NOT allowed to create their own Creatives for promoting Pascoe Canada’s Products and or Contents. If the Affiliates need any alternative Creative, they are most welcome to contact Pascoe Canada Affiliate Team.
5.4 The Affiliate must not operate or utilize a website, or email or a link to a website, which contains or promotes the following types of content: libelous, defamatory, obscene, abusive, violent, bigoted, hate-related, illegal, cracking, hacking, anti-brand messaging or that offer illegal goods or services.
6. Coupon and Deal Sites
Pascoe Canada occasionally offers coupon to select affiliates and to our newsletter subscribers. If the Affiliate is not pre-approved / assigned a branded coupon, then they are not allowed to promote the coupon. Below are the terms that apply for any affiliate who is considering the promotion of our products in relation to a deal or coupon:
- Affiliates may not use misleading text on affiliate links, buttons or images to imply that anything besides currently authorized deals to the specific affiliate.
- Affiliates may not bid on “Pascoe Canada Coupons”, “Pascoe Canada Discounts” or other phrases implying coupons are available.
- Affiliates may not generate pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set affiliate cookies unless the user has expressed a clear and explicit interest in activating a specific savings by clicking on a clearly marked link, button or image for that particular coupon or deal. The Affiliate’s link must send the visitor to the merchant site.
- User must be able to see coupon/deal/savings information and details before an affiliate cookie is set (i.e. “click here to see coupons and open a window to merchant site” is NOT allowed).
- Affiliate sites may not have “Click for (or to see) Deal/Coupon” or any variation, when there are no coupons or deals available, and the click opens the merchant site or sets a cookie. Affiliates with such text on the merchant landing page will be removed from the program immediately.
7. Pay Per Click (PPC) Policy (or more general as Promotions and Marketing)
No search or PPC permitted on the Pascoe Canada affiliate program. Please refer to PPC tab.
8. Liability
Pascoe Canada will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s)
9. Termination
The affiliate application and status in the Program may be suspended or terminated for any of the following reasons:
- Inappropriate advertisements (false claims and indications, misleading hyperlinks, etc.).
- Spamming (mass email, mass newsgroup posting, etc.).
- Advertising on Adult sites, gambling sites, sites which promote violence or unseemly behaviour, any sites not appropriate to our brand, and sites containing or promoting illegal activities.
- Failure to disclose the affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any applicable laws.
- Violation of intellectual property rights. Pascoe Canada reserves the right to require license agreements from those who employ trademarks of Pascoe Canada in order to protect our intellectual property rights.
- Self-referrals, fraudulent transactions, suspected Affiliate fraud.
In addition to the foregoing, Pascoe Canada reserves the right to terminate any Affiliate account at any time with 7-day-notice period.
10. Term of the Agreement
The term of this Agreement begins upon your acceptance in the Program and will end when your Affiliate account is terminated. The terms and conditions of this agreement may be modified by Pascoe Canada Affiliate Team from time to time. We reserve the right of Affiliates to know about these changes with a 7-day notice period.
11. Indemnification
Affiliate shall indemnify and hold harmless Pascoe Canada and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by Pascoe Canada to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.
12. Electronic Signatures Effective
The Agreement is an electronic contract that sets out the legally binding terms of your participation in the Pascoe Canada affiliate program. You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced in this Agreement by completing the Share a Sale and/or Pascoe Canada application process. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.
